Terms and Conditions

Trading Terms & Conditions

Important Notice: These terms contain significant changes from the previous version. Please read them carefully in full before placing any new order.
These trading terms supersede all previously stated trading terms and are now cancelled.

Acceptance of Terms
By placing an order, whether written or verbal, the Stockist agrees to be bound by these Trading Terms & Conditions and by the TK Hockey Stockist Agreement & Brand Standards Guide (the "Agreement"), the current version of which is available on the TK Trade Portal. These terms are reviewed periodically. Continued trading with TK Hockey (UK) Ltd constitutes acceptance of any revised version.

TK Hockey (UK) Ltd reserves the right to refuse orders, decline new account applications, suspend trading privileges, or terminate existing trading relationships at any time, with or without prior notice, at our sole and absolute discretion. Such decisions may be based on any factors we deem relevant to our business interests, including but not limited to: breach of these terms, late payment, creditworthiness concerns, brand representation issues, or conduct inconsistent with our brand values. We are under no obligation to provide reasons. Upon termination, all outstanding amounts become immediately due and payable, and any unfulfilled orders may be cancelled without liability.
To ensure compliance with these terms, TK Hockey (UK) Ltd reserves the right to monitor the commercial and market activities of authorised stockists. Such monitoring may include website and marketplace surveillance, retail store visits, mystery shopping, and consideration of reports from customers, other stockists, or third parties. All monitoring will be conducted through lawful means and in accordance with applicable data protection legislation.

Orders, Service & Delivery
We recommend placing all orders via our B2B portal, which provides live stock figures and processes orders most efficiently. Orders can also be placed by phone (24-hour answerphone). We aim to despatch all carriage-paid orders received by 14:00 Monday to Friday on the same day. Deliveries will be sent via the courier or method chosen by TK Hockey (UK) Ltd at our sole discretion.
There is no minimum order for most products. Special order textiles require a minimum quantity, details of which will be confirmed at time of enquiry.

Pricing & VAT
Goods will be invoiced at the applicable rate on date of despatch. We reserve the right to alter prices without notice. All prices are exclusive of VAT.

Payment Terms
Net payment is due within 30 days of invoice date, unless otherwise stated on the invoice. Discounts (where offered) are conditional on cleared funds being received by the date specified, with full remittance details, and payment made by bank transfer. We do not accept cheques or credit/debit card payments. Discounts are discretionary and may be withdrawn at any time without notice. We reserve the right to require deposits or proforma payment from new or existing stockists where credit limits are exceeded, and to withhold delivery of any goods where any sum owing to us is overdue.
Interest will be charged on overdue invoices at 8% per annum above the Bank of England base rate, together with debt recovery costs, pursuant to the Late Payment of Commercial Debts (Interest) Act 1998 as amended. Where interest or debt recovery costs are payable, monies received will be allocated first to interest and debt management charges.

Losses, Shortages, Damages & Returns
Any goods found to be missing or damaged on delivery must be reported to TK Hockey (UK) Ltd and the carrier in writing within 3 days of delivery. Failure to notify within this period renders any claim entirely at TK Hockey's discretion. Any invoice discrepancy must be reported in writing within 7 days of the invoice date.
Goods may not be returned without prior written authorisation. Non-faulty returns are subject to a handling charge of up to 25% of the invoiced value. The following conditions apply: (i) goods must be returned in perfect re-saleable condition with all original packaging and swing tickets intact; (ii) goods made to a customer's own specification may not be returned; (iii) goods no longer in the current Price List, or made for a specific event, are unlikely to be accepted and may attract an obsolescence deduction of 50–70% of invoiced value; (iv) where a return is accepted and the relevant invoice has not been paid, any return charge or credit deduction must be settled immediately; (v) goods supplied on a temporary basis as samples must be authorised in writing in advance. For the avoidance of doubt, TK Hockey (UK) Ltd shall not be responsible for the acts or omissions of any carrier or third-party recipient.
All approved returns will be replaced with the same or equivalent product. Credits will only be issued where the returned product is no longer available or has been discontinued. Credits are issued at the last applicable price regardless of when the goods were purchased. Goods purchased more than 24 months ago will be credited at the last applicable clearance price where replacement is not possible. The net credit price for any approved return will be the lowest net price paid by the customer for that product.

Guarantees
Owing to the nature of hockey, sticks cannot be guaranteed against breakage. We will consider valid breakage claims based on genuine manufacturing faults in sticks with low purchase usage. We do not replace sticks showing signs of excessive wear, age, or misuse. Where a manufacturer's defect is claimed, proof of purchase must be supplied and return postage paid by the owner.
All non-stick items are guaranteed against manufacturing or material defects. Excessive use or misuse will not be considered a manufacturing fault. Minor colour variation in garments due to fabric and dye variation is not a defect; the Company has QC processes in place to control variation and does not accept liability for minor differences.

Textiles
Commercial textile orders must be confirmed in writing by email before submission — no order will be submitted until written confirmation is received, and the confirmation date is used to calculate lead times. Exact colour matching cannot be guaranteed due to fabric and dyeing variation. Articles may vary within a production tolerance of +/- from quantities submitted. In all cases, overmakes must be accepted.

Export
Goods are sold to UK stockists on the express condition that the stockist will not export them, directly or indirectly, to any person or entity outside the United Kingdom, unless expressly agreed in writing by TK Hockey (UK) Ltd.

New Product Embargo
Stockists must not publicise, share, or display imagery of new TK Hockey products on their website, social media, or any other channel until one month prior to the first shipment of that new range. TK Hockey (UK) Ltd reserves the right to reduce or cancel a stockist's season orders if this embargo is breached.

Trademarks & Image Rights
TK Hockey (UK) Ltd grants stockists a limited, non-exclusive licence to use TK Hockey trademarks, brand assets, and product imagery on their own website and marketing materials, where such use is fair and proportional to the sale of TK Hockey products on that channel. Use of TK Hockey's name, trademarks, or intellectual property for any other purpose requires TK Hockey's prior written approval, which may be withdrawn on two weeks' notice.
Stockists must have adequate internal controls to ensure appropriate permission exists before using any action imagery featuring players, ambassadors, Getty licence holders, or other rights owners. Stockists must promptly notify TK Hockey (UK) Ltd upon becoming aware of any unauthorised use of TK Hockey's intellectual property and take such steps as TK Hockey reasonably requires to remedy it.

Liability
The provisions of the Sale of Goods Act 1979 (as amended) apply to and are incorporated into these terms. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Subject to the above: (i) TK Hockey (UK) Ltd's total liability to the buyer in respect of any claim shall not exceed the value of the goods invoiced under the relevant order, exclusive of VAT; (ii) TK Hockey (UK) Ltd shall not be liable for any indirect, incidental, special, or consequential loss howsoever arising, including loss of profit, loss of revenue, loss of goodwill, loss of anticipated savings, or any payment made or due to a third party; (iii) TK Hockey (UK) Ltd excludes all terms and warranties implied by statute, common law, or otherwise to the fullest extent permitted by law.
The buyer is responsible for satisfying itself as to the suitability of goods for any particular purpose. No representation made prior to an order is incorporated into these terms unless confirmed in writing by a director of TK Hockey (UK) Ltd.

Title, Risk & Insurance
Risk passes to the buyer when goods are consigned to the carrier for delivery. The buyer is responsible for safekeeping and storage from that point and must insure goods at full replacement value until payment is received in full.
Legal title remains with TK Hockey (UK) Ltd until payment in full has been received for those goods and all other sums due. Until title passes: (i) the buyer shall store goods separately and in a manner that keeps them identifiable as TK Hockey's property; (ii) the buyer shall not charge or encumber the goods; (iii) proceeds of any sale of the goods before title passes shall be held on trust for TK Hockey (UK) Ltd and kept separate from the buyer's own funds; (iv) TK Hockey (UK) Ltd may enter the buyer's premises to repossess the goods at any time, and the buyer hereby grants an irrevocable licence for this purpose.

Insolvency & Force Majeure
If the buyer becomes insolvent, enters administration or liquidation, ceases trading, or has a receiver or administrator appointed, TK Hockey (UK) Ltd may immediately terminate any agreement, suspend supply, and recover any goods not paid for in full.
TK Hockey (UK) Ltd shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including acts of God, war, civil commotion, terrorism, fire, flood, storm, pandemic, government action, or supplier default. TK Hockey (UK) Ltd shall be entitled to a reasonable extension of time and shall not be liable for resulting loss or damage.

Data Protection
TK Hockey (UK) Ltd processes personal data in accordance with the UK GDPR and the Data Protection Act 2018. Customer data — including contact details, order history, payment information, and commercial conduct — may be collected and used for processing orders, account management, credit control, market monitoring, and protecting our legitimate business interests including brand protection. Data is retained for as long as necessary for business, legal, and regulatory purposes. Buyers have rights to access, rectify, erase, restrict, object to, and port their data, subject to legal limitations. TK Hockey (UK) Ltd reserves the right to use business and personal details for credit assessment purposes.

General
Variation: TK Hockey (UK) Ltd reserves the right to amend these terms at any time. Changes take effect from the date specified, which may be immediately upon communication. Continued trading constitutes acceptance. It is the buyer's responsibility to review these terms regularly.
Entire Agreement: These terms supersede all prior agreements between the parties. No variation is effective unless in writing and signed by an authorised representative of TK Hockey (UK) Ltd. The buyer has not relied on any statement or warranty not set out in these terms. Clause headings are for reference only and do not affect interpretation.
Severability: If any provision is held invalid or unenforceable, the remaining provisions continue in full force. The invalid provision shall be modified to the minimum extent necessary to make it enforceable, or deleted if that is not possible.

Governing Law and Jurisdiction
These terms and conditions shall be governed by and construed in accordance with English law. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms and conditions or their subject matter or formation (including non-contractual disputes or claims).
